1. Definitions

In these Terms & Conditions, the following definitions apply:

• "Platform" means the getServiceRelay web application and associated services accessible at app.getservicerelay.com and www.getservicerelay.com.
• "We", "us", "our" means getServiceRelay, the operator of the Platform.
• "User", "you", "your" means any individual or organisation that registers for or uses the Platform.
• "Tenant" means the isolated workspace created upon account registration, associated with a single organisation.
• "Company" means a company profile created within a Tenant on the Platform.
• "Affiliation" means a formal partnership agreement recorded on the Platform between two Companies.
• "Commission" means the fee split or percentage arrangement agreed between two affiliated Companies at the time the affiliation is created and recorded on the Platform as a reference for their ongoing commercial arrangement.
• "Content" means any data, text, messages, company information, or other material submitted to the Platform by Users.

2. The Platform — What We Are and Are Not

getServiceRelay is a facilitation and record-keeping platform. We provide software tools that enable service businesses to:

• Connect with and formally record affiliation arrangements with other businesses
• Agree and record commission terms per affiliation
• Exchange contact details with affiliated partners upon mutual acceptance
• Communicate with affiliated partners via a built-in messaging system

We are not an employment agency, staffing service, financial intermediary, payment processor, or regulated financial service. Nothing on the Platform constitutes financial, legal, or business advice.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Be acting in a professional capacity on behalf of a legitimate registered business or sole trader
• Have the authority to bind the business you represent to these Terms
• Not be prohibited from using the Platform under applicable law

The Platform is intended for business-to-business use only. Use of the Platform for personal, consumer, or non-commercial purposes is not permitted.

4. Accounts and Tenants

4.1 Registration

You must provide accurate, complete, and current information when registering. You are responsible for keeping your account information up to date. Providing false or misleading information is grounds for immediate account termination.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised access to your account. We are not liable for any loss or damage arising from your failure to keep your credentials secure.

4.3 Tenant Administration

The first user registered for a Tenant is designated the admin. The admin is responsible for managing users within the Tenant, ensuring all users comply with these Terms, and maintaining the accuracy of the Company profile. You are responsible for the actions of all users within your Tenant.

4.4 One Tenant per Organisation

You may not create multiple Tenants to circumvent any restrictions, limits, or bans imposed on an existing account.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform to facilitate any illegal, fraudulent, or deceptive activity
• Submit false, misleading, or defamatory Content
• Impersonate any person or business, or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorised access to any other User's account or data
• Attempt to probe, scan, or test the vulnerability of the Platform or circumvent any security measure
• Upload or transmit any virus, malware, or other harmful code
• Use automated tools (bots, scrapers, crawlers) to access the Platform without our prior written consent
• Use the Platform in any manner that could disable, overburden, or impair its infrastructure
• Harvest or collect any other User's data without their explicit consent
• Use the Platform to send unsolicited commercial communications
• Violate any applicable local, national, or international law or regulation

We reserve the right to investigate suspected violations and to suspend or terminate accounts accordingly.

6. Affiliate Agreements Between Users

The Platform enables Users to send, receive, and record affiliation requests with other Companies. You acknowledge and agree that:

• Any affiliation recorded on the Platform constitutes an agreement solely between you and the other Company. getServiceRelay is not a party to that agreement.
• We do not verify, vet, or endorse any Company on the Platform. You are solely responsible for conducting your own due diligence before entering into any affiliation.
• We make no representations or warranties as to the suitability, trustworthiness, financial standing, legal status, or capability of any other User or their Company.
• We are not responsible for any dispute, loss, damage, or claim arising from or in connection with an affiliation arrangement between Users.
• Commission terms recorded on the Platform are for reference purposes only and do not constitute a legally binding contract enforceable against getServiceRelay.

7. Commission Arrangements

The Platform allows Users to propose and record a commission split per affiliation. You acknowledge and agree that:

• Commission terms are proposed by the member company at the time of the affiliation request and agreed by the partner company upon acceptance. Both parties see the same agreed terms.
• Commission rates recorded on the Platform are for reference purposes only. They represent amounts that Users have agreed between themselves. getServiceRelay does not calculate, validate, guarantee, or enforce any commission amount.
• All commission payments are made directly between the parties outside of the Platform, using their own chosen payment methods. getServiceRelay is not involved in and accepts no liability for any financial transaction between Users.
• We are not responsible for any failure by any User to pay agreed commission or otherwise honour any arrangement recorded on the Platform.

8. Payments and Commission Settlement

We are not a payment service provider, financial institution, or regulated financial intermediary. We have no involvement in, and accept no liability for, any financial transaction between Users. Any dispute regarding payment is solely between the relevant Users.

You are solely responsible for:

• Ensuring that any commission arrangements comply with applicable law, including tax obligations
• Issuing and receiving invoices where required
• Accounting for and paying any applicable taxes on income received through partner referrals
• Pursuing any unpaid commission through appropriate legal or commercial channels

9. Messaging

The Platform includes a built-in messaging system for communication between affiliated partners. You are solely responsible for the content of messages you send. You must not use the messaging system to send:

• Threatening, abusive, harassing, or offensive content
• Spam or unsolicited commercial communications
• Content that infringes the intellectual property rights of any third party
• Content that violates any applicable law

We may review messages where we have reason to believe a violation of these Terms has occurred. We are not otherwise responsible for the content of messages exchanged between Users.

10. Limitation of Liability

10.1 Exclusion of Consequential Loss

To the fullest extent permitted by applicable law, getServiceRelay shall not be liable to you or any third party for any:

• Loss of profits, revenue, or anticipated savings
• Loss of business, contracts, or opportunities
• Loss of goodwill or reputation
• Loss or corruption of data
• Any indirect, special, incidental, consequential, or punitive loss or damage of any kind

— whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, even if we have been advised of the possibility of such loss or damage.

10.2 No Liability for User Actions or Arrangements

getServiceRelay is not liable for:

• Any failure by any User to fulfil work referred through a partner arrangement
• Any failure by any User to pay agreed commission or any other sum
• Any dispute arising between affiliated partners
• Any act, omission, or conduct of any User on or off the Platform
• Any loss suffered as a result of an affiliation or commission arrangement recorded on the Platform
• Any reliance placed on the accuracy of any data entered by another User

10.3 No Liability for Service Interruptions

getServiceRelay shall not be liable for any loss or damage arising from:

• Interruption, suspension, or unavailability of the Platform for any reason
• Technical failures, bugs, errors, or defects in the Platform
• Loss or corruption of data resulting from technical failures
• Unauthorised access to your account or data resulting from your failure to secure your credentials
• Any delay in sending or receiving email notifications
• Any failure of third-party services upon which the Platform depends

10.4 Cap on Liability

To the extent that any liability of getServiceRelay cannot be excluded by law, our total aggregate liability to you arising out of or in connection with these Terms or your use of the Platform shall not exceed the greater of: (a) the total amount paid by you to us in the twelve months preceding the event giving rise to the claim, or (b) £100 (one hundred pounds sterling).

10.5 Statutory Rights

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under applicable law.

11. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without any warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties including:

• That the Platform will meet your requirements or expectations
• That the Platform will be uninterrupted, timely, secure, or error-free
• That any results obtained from use of the Platform will be accurate or reliable
• That any defects in the Platform will be corrected
• The fitness of the Platform for any particular purpose
• The accuracy, completeness, or currency of any Content submitted by other Users

We do not warrant that the Platform is free from viruses or other harmful components, and you are responsible for implementing appropriate measures to protect your systems.

12. Indemnity

You agree to indemnify, defend, and hold harmless getServiceRelay and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Platform
• Any Content you submit to the Platform
• Any affiliation, commission arrangement, or other commercial arrangement you enter into with another User
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party

13. Intellectual Property

13.1 Our Intellectual Property

All intellectual property rights in the Platform, including its software, design, branding, text, and graphics, are owned by or licensed to getServiceRelay. Nothing in these Terms grants you any right, title, or interest in the Platform other than the limited right to use it in accordance with these Terms.

13.2 Your Content

You retain ownership of all Content you submit to the Platform. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free licence to store, process, and display that Content solely to the extent necessary to provide the Platform to you and to other Users with whom you choose to share it. We will not use your Content for any other purpose.

You warrant that you have all necessary rights to submit any Content you provide, and that such Content does not infringe the rights of any third party.

14. Third-Party Services

The Platform may depend on or link to third-party services, websites, or tools. We are not responsible for the availability, accuracy, or content of third-party services, and any use of third-party services is at your own risk and subject to the terms and policies of those third parties. A link from the Platform to a third-party website does not imply endorsement.

15. Suspension and Termination

15.1 Termination by You

You may close your account at any time by contacting us at [email protected]. Upon account closure, your access to the Platform will cease. Certain data may be retained in accordance with our Privacy Policy and applicable law.

15.2 Suspension or Termination by Us

We reserve the right to suspend or terminate your access to the Platform, with or without notice, if we reasonably believe that you have:

• Breached any provision of these Terms
• Engaged in conduct that may harm the Platform, other Users, or third parties
• Provided false or misleading information
• Engaged in fraudulent or illegal activity

We also reserve the right to suspend or discontinue the Platform at any time, with reasonable notice where practicable.

15.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including limitations of liability, indemnity, intellectual property, and governing law) shall continue in effect.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date. Where changes are material, we will endeavour to notify registered users by email at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and close your account.

17. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Subject to any mandatory consumer protection rights, each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
